1. Introduction

These Terms and Conditions (“Terms”) govern the use of services provided IT Unlocked LLC (“Company,” “we,” “us,” or “our”). By engaging our services or using our website, you (“Client,” “you”) agree to these Terms.

If you do not agree, you must not use our services.

2. Scope of Services

We provide information technology services including, but not limited to:

  • Managed IT services

  • IT support and troubleshooting

  • Network and systems administration

  • Cloud, hosting, and migration services

  • Cybersecurity services

  • IT consulting and project-based services

Specific deliverables, pricing, and timelines will be defined in a proposal, Statement of Work (SOW), service agreement, or invoice.

3. Client Obligations

You agree to:

  • Provide accurate and complete information

  • Maintain valid licenses for all software and systems

  • Ensure reasonable access to systems, data, and personnel

  • Maintain backups of all data unless backup services are explicitly included

You are solely responsible for the legality and integrity of your data and systems.

4. Fees and Payment Terms

  • Fees are outlined in your agreement, proposal, or invoice

  • Payment is due on the first of every month for 12 months for the full duration of the agreement.

  • Late payments may incur interest of 10% per month or the maximum allowed by law

  • We reserve the right to suspend or terminate services for non-payment

All fees are non-refundable unless explicitly stated in writing.

5. Term and Termination

Either party may terminate services with [30] days of the start of the agreement or prior to the end of the 12 month period, written notice unless otherwise agreed.

We may immediately suspend or terminate services if:

  • These Terms are breached

  • Payments are overdue

  • Continued service presents security, legal, or operational risk

Upon termination, all outstanding fees become immediately due.

6. Data Security and Risk

We implement reasonable security measures consistent with industry standards. However:

  • No system is completely secure

  • We do not guarantee prevention of cyber incidents, data loss, or unauthorized access

You acknowledge that IT and cybersecurity risks cannot be fully eliminated.

7. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information obtained during the engagement, except where disclosure is required by law.

8. Intellectual Property

Unless otherwise agreed in writing:

  • Each party retains ownership of its pre-existing intellectual property

  • Custom work is licensed to the Client upon full payment

  • We retain the right to reuse general skills, knowledge, and experience

9. Third-Party Products and Services

We may recommend or integrate third-party services or software. We are not responsible for:

  • Third-party outages, failures, or changes

  • Licensing terms or pricing of third-party providers

  • Data loss or service disruption caused by third parties

Your use of third-party services is subject to their terms and conditions.

10. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages

  • Our total liability shall not exceed the total fees paid by you in the proceeding 12 months.

This limitation applies regardless of the legal theory asserted.

11. No Warranties

Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and uninterrupted service.

12. Indemnification

You agree to indemnify and hold harmless IT Unlocked LLC from any claims, losses, or damages arising from:

  • Your misuse of services

  • Violation of laws or regulations

  • Breach of these Terms

13. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, power failures, internet outages, labor disputes, or government actions.

14. Governing Law

These Terms are governed by the laws of the State of [State], without regard to conflict-of-law principles.

15. Modifications

We may update these Terms at any time. Continued use of services after changes constitutes acceptance of the revised Terms.
